1、英文合同中词语的理解和翻译

用词考究,特定性较强,是合同英语的特点。基于此,在对合同英语惊醒翻译的过程中,以下几点应该引起特别的关注:

①May,shall,must,may not(或shall not)的用法

一般认为,May, shall, must, may not(或shall not)是习以为见,再简单不过的单词。但是,当它们处于合同中的时候,我们就需要变得极为谨慎。注意它们所代表的语意的强烈程度。

May,代表的含义是:约定当事人的权利(即可以做什么);shall所代表的含义是:约定当事人的义务(应该做什么);表示强制性义务时则用“must”,(即必须做什么);表禁止性义务时(不得做什么)时,就要使用may not(或者是shall not).may do 和can do 不能等同,两者不能互换。同样,shall do 和should do 以及ought to do 也无法互换,在美国的一些法律文件中,may not do 可以和shallnot do 互换,但用 cat not do 或must not do 是绝对不允许替换may not do 的。

③极易混淆的词语

shipping advice 与 shipping instructions

由出口商发给进口商,为:装运通知。即shipping advice;而shipping instructions 是“装运须知”的意思,表达的含义与前者完全相反,是进口商发给出口商的。

abide by 与comply with

都表示“遵守”之意的abide by 与comply with.其差异在于主语的不同,选择就不同。当主语是“人”时,用abide by 来表示“遵守”之意,如果主语“非人”的话,就用comply with来表示。

change A to B 与change A into B

“change A to B”表示的是“把A改为B”,而“change A into B”表示的含义为“把A折合成或兑换成B”。二者得差别不能混淆。

ex 与per

ex与per来源于拉丁语,其代表的含义是截然不同的。Ex 英译表示的是轮船“运来”货物时,而per 则用来表示轮船:“运走”货物。

in与after
