国内ACCA免考政策
一、ACCA对中国教育部认可的全日制大学在读生(会计或金融专业)设置的免试政策:
1.会计学或金融学(完成第一学年课程):可以注册为ACCA正式学员,无免试
2.会计学或金融学(完成第二学年课程):免试前3门课程
3.会计学或金融学(完成第三学年课程):免试前5门课程
4.其他专业(在校生完成大一后):可以注册但无免试
二、ACCA对中国教育部认可高校毕业生设置的免试政策:
1.会计学(获得学士学位):免试前5门课程
2.会计学(辅修专业):免试前3门课程
3.金融专业:免试前5门课程
4.法律专业:免试1门课程(LW)
5.商务及管理专业:免试1门课程(AB)
6.MPAcc专业(获得MPAcc学位或完成MPAcc大纲规定的所有课程、只有论文待完成):原则上免试五门课程。
7.MBA学位(获得MBA学位):免试前3门课程
8.非相关专业:无免试
三、注册会计师考生:
1.2009年CICPA“6+1”新制度实行之前获得CICPA全科通过的人员:免试5门课程(AB-LW和TX)
2.2009年CICPA“6+1”新制度实行之后获得CICPA全科通过的人员:免试9们课程(AB-FM)
3.如果在学习ACCA基础阶段科目的过程中获得了CICPA全科合格证(须2009年“6+1”制度实行后的新版证书),可以自行决定是否申请追加免试。
四、其他证书互免情况
1.CMA(美国注册管理会计师)全科通过并取得证书:免试前三科
2.USCPA(美国注册会计师)全科通过:免试AB-TX、AA、FM(共免8门) ACCA免考政策相关注意事项:
国外ACCA免考政策
1.国内+国外联合教学模式,以留学英国为例,至少需要从国外大学本科大二开始读起,才有免考资格,如果学生插读英国大学本科最后一年或者HND学生就读TOP课程是不能享受免考政策的。
2.澳大利亚、新加坡、英国等地的本科会计相关专业的毕业生,一般可以直接免考9门。
3.国外大学专业课一般有专业必修课和选修课之分,部分学校及时有7-9门的免考政策,但需要要求学生选修ACCA官方要求的选修科目。
4.国外大学不是所有大学均可以免考9门,根据ACCA官方与大学是否合作,以及对专业课的评估,有的免考7-9门,有些学校则无免试政策。
免考注意事项
1、在校生只有顺利通过整学年的课程才能够申请免试。
2、针对在校生的部分课程免试政策只适用于会计学专业全日制大学本科的在读学生,而不适用于硕士学位或大专学历的在读学生。
3、已完成MPAcc学位大纲规定课程,还需完成论文的学员也可注册并申请免试。
4、须提交由学校出具的通过所有MPAcc学位大纲规定课程的成绩单,并附注“该学员已通过所有MPAcc学位大纲规定课程,论文待完成”的说明。
5、特许学位(即海外大学与中国本地大学合作而授予海外大学学位的项目)—部分完成时不能申请免试。
6、政策适用于在中国教育部认可的高等院校全部完成或部分完成本科课程的学生,而不考虑目前居住地点。
7、欲申请牛津布鲁克斯大学学士学位的学员需放弃F7-F9的免试。

(c) (i) Explain the capital gains tax (CGT) implications of a takeover where the consideration is in the form. of
shares (a ‘paper for paper’ transaction) stating any conditions that need to be satisfied. (4 marks)
(c) (i) Paper for paper rules
The proposed transaction broadly falls under the ‘paper for paper’ rules. Where this is the case, chargeable gains do not
arise. Instead, the new holding stands in the shoes (and inherits the base cost) of the original holding.
The company issuing the new shares must:
(i) end up with more than 25% of the ordinary share capital (or a majority of the voting power) of the old company,
OR
(ii) make a general offer to shareholders in the other company with a condition that, if satisfied, would give the
acquiring company control of the other company.
The exchange must be for bona fide commercial reasons and must not have as its main purpose (or one of its main
purposes) the avoidance of CGT or corporation tax. The acquiring company can obtain advance clearance from the
Inland Revenue that the conditions will be met.
If part of the offer consideration is in the form. of cash, a gain must be calculated using the part disposal rules. If the
cash received is not more than the higher of £3,000 or 5% of the total value on takeover, then the amount received in
cash can be deducted from the base cost of the securities under the small distribution rules.

In addition, the views of internal staff as to the likely effect of using outside consultants must be considered, as is the effect the use of consultants might have on the need to develop expertise within the organisation.

General roles of a nominations committee.
It advises on the balance between executives and independent non-executive directors and establishes the appropriate
number and type of NEDs on the board. The nominations committee is usually made up of NEDs.
It establishes the skills, knowledge and experience possessed by current board and notes any gaps that will need to be filled.
It acts to meet the needs for continuity and succession planning, especially among the most senior members of the board.
It establishes the desirable and optimal size of the board, bearing in mind the current size and complexity of existing and
planned activities and strategies.
It seeks to ensure that the board is balanced in terms of it having board members from a diversity of backgrounds so as to
reflect its main constituencies and ensure a flow of new ideas and the scrutiny of existing strategies.
In the case of Rosh, the needs that a nominations committee could address are:
To recommend how many directors would be needed to run the business and plan for recruitment accordingly. The perceived
similarity of skills and interests of existing directors is also likely to be an issue.

position of non-compliance with many of the corporate governance guidelines pertaining to NEDs.

recommendations to rectify it.
